1. Services Description
FulfilLink provides ecommerce fulfillment services including, but not limited to: product sourcing, quality control, warehousing, order processing, packaging, and global shipping for online sellers. We act as your fulfillment partner and supply chain intermediary, connecting you with manufacturers, logistics providers, and other service providers.
2. Account Registration
- You must be at least 18 years old and have the legal capacity to enter into these Terms.
- You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree to notify us immediately of any unauthorized use of your account or any other security breach.
3. Orders and Payment
- You agree to pay for all orders processed through your account, including product costs, handling fees, and shipping charges.
- Pricing is transparent and itemized before you confirm each order. By confirming an order, you authorize us to charge your selected payment method.
- All payments are non-refundable once an order has been processed and shipped, except as provided in our Refund Policy.
- We reserve the right to refuse or cancel any order at our discretion, including orders suspected of fraud or violation of these Terms.
- Late or failed payments may result in suspension of services until payment is resolved.
4. Products and Quality
- We source products from our network of factory partners. While we conduct quality control inspections, we do not manufacture products ourselves and cannot guarantee absolute perfection.
- Product descriptions, specifications, and images are provided by manufacturers and may vary slightly from the actual product.
- You are responsible for ensuring that products you sell comply with all applicable laws, regulations, and safety standards in your target markets.
- Custom and private label products are made to your specifications. We are not responsible for errors in specifications provided by you.
5. Shipping and Delivery
- We process orders within 24 hours of confirmation and payment. Delivery times are estimates and may vary due to factors beyond our control, including customs delays, weather, and carrier issues.
- We provide tracking information for all shipped orders. It is your responsibility to share tracking information with your customers.
- We are not liable for delays caused by customs clearance, import restrictions, or destination country regulations.
- You are responsible for any customs duties, taxes, or import fees applicable to your shipments.
6. Returns and Refunds
Returns and refunds are governed by our separate Refund & Replacement Policy, which is incorporated into these Terms by reference. Please review that policy for details on eligibility, procedures, and timelines.
7. Intellectual Property
- The FulfilLink name, logo, website content, and service marks are the property of FulfilLink and may not be used without our prior written consent.
- You retain ownership of your brand assets, product designs, and customer data. By using our services, you grant us a limited license to use such materials solely for the purpose of providing fulfillment services to you.
- You represent and warrant that you have the right to use any trademarks, copyrights, or other intellectual property associated with products you sell through our services.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of business, including but not limited to pricing, customer data, business strategies, and technical information. This obligation survives termination of these Terms.
9. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, FulfilLink shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of our services. Our total aggregate liability for any claim arising from these Terms shall not exceed the total amount paid by you to FulfilLink in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless FulfilLink and its officers, employees, and partners from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights, including intellectual property rights.
12. Termination
- You may terminate your account at any time by contacting us. Termination does not relieve you of obligations for orders already processed.
- We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding balances.
- Upon termination, we may retain your data as required by law and for legitimate business purposes, including accounting and dispute resolution.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts in Hangzhou, Zhejiang, China.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
